AOMAC and our related entities both in the US and overseas, can establish and administer many different structures for our clients, such as asset holding or trading.

Formation of Foreign Companies and Trusts, LLCs and Corporations

We are able to establish entities in many jurisdictions via our international network of professional service providers. We will assist in the setup process, liaise with any tax or legal advisers, if required and co-ordinate the due diligence process. Our present network of professional working relationships, which continue to grow on an ongoing basis, cover: New Zealand; Jersey and Guernsey in the Channel Islands; Geneva, Switzerland; BVI; Bahamas; Hong Kong; UK; Cayman Islands and Scandinavia. The first two jurisdictions are our primary bases for Trustee services.


Administration of both Foreign and Domestic Entities and Personal Assets

Once a structure has been established the client may wish AOMAC to continue to assist with the ongoing maintenance and administration of the structure itself. The services we can provide include but are not limited to:

  • Maintenance of the statutory records (minute book and registers) in good order
  • Registered office/agent
  • Book-keeping
  • Drafting minutes of directors meetings and resolutions
  • Monitoring business transactions and providing coordination
  • Provision of overseas non-US: trustees, directors, secretary, nominee shareholders
  • Preparation of customized reports for clients

Assistance with the identification of suitable Professional Legal, Tax and Investment Advisers, Banks, Real Estate and Insurance Brokers

AOMAC is able to provide recommendations of professionals to clients but we are also willing to work with a clients’ own existing advisers and managers.

AOMAC does not hold itself out to be an expert in any area of activity except for that of the administration of legal entities. Therefore, for guidance on the structuring, choice of investments or scheme, management procedure and ownership, we employ or refer our clients to a number of professional experts specializing in the relevant areas. Those who we recommend are persons and organizations with whom we have had personal experience of dealing with and are more than satisfied with their services and advice received in the past. AOMAC is not able, however, to warrant the advice or recommendations from any professional adviser or agent it may so suggest. These recommendations are made in good faith and there is no commission or monetary reward made to AOMAC for any such referrals.

In the case of overseas non-US property holdings, AOMAC liaises with local investment advisors and managers in the areas where the properties or investments are situated. We are pleased to introduce clients to these service providers, as appropriate.

Consolidation, administration and reporting of wealth

AOMAC considers it to be important to maintain an overall consolidated financial picture of the assets and activities which will be required for those entities that need to produce annual tax returns, or provide any other financial information that may be required to be filed with any appropriate authority. As a part of our own standard practice, we ensure that each entity maintains an ongoing record of all cash transactions and that periodically a balance sheet with income and expenditure statement are prepared.

Provision of overseas entities and arrangements for US citizens

A US citizen and tax payer may well wish to make an investment or continue a trade overseas. Under advice and in consultation with his/her legal and tax adviser, appropriate entities can be established in different countries around the world dependant on the activities and nature of the investment. These companies and/or trusts once established, will be managed and administered by AOMAC or its associates as required.

Procedures and requirements to commence a relationship with AOMAC

AOMAC follows internationally recognized setup and ongoing compliance procedures throughout its activities in every country where it has an interest or carries on an activity. Prior to commencing and arrangement, the principle of “Know Your Client” is very much enforced and not only do we need the usualdocumentation to verify identity and source of funds plus bank and professional references, but in the course of our administration are intent on gaining an in-depth knowledge of our clients’ circumstances and business dealings. This is performed on a non-intrusive and informal basis through meeting and visiting the clients on their home territory as well as abroad on a regular basis.

SCHEDULE OF SERVICES

1. Company Directors

AOMAC will provide individual or corporate directors. In all jurisdictions responsibility for the day to day management of a Company lies with its directors and therefore AOMAC reserves the right to refuse to carry out any requests of the Principal which they regard as unlawful or unreasonable, or which in its opinion is not in the best interests of the Company or its shareholders.

AOMAC directors shall have control over all the financial transactions of the Company and its assets and shall therefore at all time control any bank account relating to the Company.

2. Company Secretary

AOMAC shall provide a Company Secretary who shall deal with the preparation of the first board minutes and the initial organisational matters of the Company including the creation of the statutory registers and the issuance of shares; and the subsequent and ongoing duties normally reserved to a company secretary including the preparation and maintenance of minutes of meetings of directors and shareholders; the preparation of resolutions of directors and shareholders; the filing of the information concerning the Company’s activities and constitution (and amendments thereto) as required by the Company’s legal domicile of incorporation. The secretary shall also advise the Company of its liabilities to any statutory corporation filing fees and statutory indirect corporate franchise taxes which apply to it, but the secretary cannot give tax advice concerning the business profits or gains or other income of the Company.

3. Nominee Shareholders

AOMAC shall provide individual or corporate shareholders as nominees or bare trustees who may from time to time be changed by AOMAC.

4. Registered Office/Registered Agent

AOMAC shall provide a Registered Office or other local Registered Agent as required by law.

It reserves the right to open and review all mail and other communications received for the Company, without any liability for any loss occasioned by such a review.

5. Bookkeeping and Accounting

AOMAC shall provide bookkeeping services for the client Company and from those records prepare accounts as instructed by the Principal to fulfil local legal and filing requirements.

6. Bank Accounts and Signatories

AOMAC shall assist in opening and maintaining bank accounts for the client/Company and in the provision of individual or corporate account signatories, subject to such signatories acting only in accordance with the authority of the directors.
